Alternative Capital and how it impacts the lifecycle of business enterprises

What it is about

You will learn the legal foundations along different stages in the lifecycle of a company – from formation over venture capital/private equity and IPO to public takeovers and integration. In the end you will be able to analyse and classify legal issues in startup founding, financing and sale processes, IPOs, public takeovers as well as integration measures.

What you will be able to do

• understand legal issues in the founding of a startup
• understand legal aspects of a structured sale process with private equity investors
• explain the legal framework conditions of an IPO
• describe the public takeover of a publicly listed company and defensive strategies against unwanted bidders and hedge funds
• understand the basics of integrating one company into another corporate group
• analyse different financing options (including venture capital) for a startup
